Public Offer Agreement (for individual clients)

This Public Offer Agreement (“Agreement“) is a public and legally binding offer made by Private Entrepreneur Yevhen Ivaniv, trading as e-Doc Ltd (together, the “Contractor,” “we,” “us,” or “our“), to any natural person (“the Client,” “you,” “your“) who accesses or uses the website at https://e-doc.ltd (the “Site“) or requests services from us.

Important note on entity structure. The name “e-Doc Ltd” is a trade name (DBA, “doing business as”) used for branding and marketing. It does not denote a limited liability company or any separate legal entity. The Contractor is an individual entrepreneur (фізична особа-підприємець / FOP) registered under the laws of Ukraine, operating on the simplified taxation system (Group 3, 5% single tax) with authorization for foreign economic activity. All rights and obligations under this Agreement rest with the individual entrepreneur personally.

This Agreement applies to individual clients (natural persons). Corporate clients are served under a separate Corporate Client Information Notice and a tailored service agreement.

1. SUBJECT OF THE AGREEMENT

1.1 The Contractor agrees to provide, and the Client agrees to purchase, professional document-related services, including:

• optical character recognition (OCR) of scanned or image-based documents;
• desktop publishing (DTP) and multilingual document layout;
• document conversion (for example, PDF to Word, PDF to Excel);
• document formatting and style normalization;
• document creation (reports, presentations, corporate documents prepared from scratch or from templates);
• other related professional services added to our Services catalogue from time to time.

1.2 The current list of Services is published at https://e-doc.ltd/services/. Services not listed there are not offered under this Agreement.

1.3 The Contractor does not hold industry-specific certifications (such as ISO 27001, HIPAA, or SOC 2) and does not guarantee compliance with sector-specific regulatory frameworks, unless explicitly agreed in a separate written service agreement.

2. ACCEPTANCE OF THE OFFER

2.1 This Agreement is deemed accepted by the Client when the Client performs any of the following:

• submits a request through a form on the Site (including the Quote Request form, the Contact form, or any equivalent form embedded on other pages of the Site);
• uploads a file for processing or evaluation;
• initiates a service discussion with us by email or other digital channel;
• confirms a quote and makes a payment for a specific project.

2.2 Acceptance implies full agreement with this Agreement, our Terms of Use, Privacy Policy, NDA Statement, and any other legal documents published on the Site.

3. SERVICE PROCEDURE

3.1 After receiving the Client’s inquiry, the Contractor will:

• review the inquiry for feasibility;
• provide a quotation indicating estimated price, turnaround, and any relevant assumptions;
• request clarification where necessary.

3.2 The Client must confirm the quotation and complete payment before work begins, unless otherwise agreed in writing.

3.3 All communication takes place via email or another digital platform agreed between the parties.

3.4 We aim to respond to inquiries within one business day, Monday–Friday, 09:00–18:00 EET. Response times outside business hours depend on workload and are not guaranteed.

4. PAYMENT TERMS

4.1 Unless otherwise agreed in writing, full prepayment (100%) is required before work begins.

4.2 We accept payment via:

• International bank transfer (SWIFT) to our USD or EUR currency account. The sender covers all transfer fees and banking commissions (code “OUR” on the transfer instruction), so that we receive the full invoiced amount.
• Payoneer, including EUR payments routed via Payoneer’s virtual IBAN (SEPA-compatible).
• Wise (TransferWise), including EUR payments routed via Wise’s virtual account details (SEPA-compatible).
• Upwork, for clients engaging us through a direct Upwork contract.

4.3 Our default billing currency is United States Dollars (USD). By agreement, invoices may be issued in Euros (EUR) or British Pounds (GBP).

4.4 All prices are quoted as net receivable amounts. The Client is responsible for all transaction fees, banking commissions, and currency conversion charges.

4.5 Upon request, the Contractor issues a formal invoice for the agreed amount. Services commence only after payment confirmation.

4.6 VAT status. The Contractor is registered as a Ukrainian sole proprietor on the simplified taxation system (Group 3, 5% single tax) and is not a registered VAT payer in Ukraine. VAT is not charged on invoices. Clients located in the EU or other VAT jurisdictions are solely responsible for fulfilling their own VAT obligations on services received — including, where applicable, accounting for VAT under the reverse-charge mechanism under local law. The Contractor does not provide VAT invoices or VAT numbers beyond the Ukrainian taxpayer identification number (TIN / РНОКПП) shown on invoices.

5. DELIVERY AND DEADLINES

5.1 The Contractor completes the Service within the timeframe agreed in the quotation.

5.2 Delivery methods include email attachment, secure download link, or another mutually agreed digital channel. Final deliverables and source files are transferred to the Client only after full payment has been received.

5.3 If the Client fails to provide materials, feedback, or approvals in a timely manner, the delivery timeline is extended accordingly, and the Contractor is not responsible for the resulting delay.

6. RIGHTS AND OBLIGATIONS

6.1 The Contractor:

• performs Services with due care and professional competence;
• may engage qualified subcontractors under binding confidentiality obligations;
• maintains the confidentiality of Client materials under our NDA Statement and any separately signed NDA;
• stores Client files securely on our own server infrastructure and applies the retention periods set out in our Privacy Policy, Section 7.

6.2 The Client:

• provides clear instructions, high-quality source materials, and all information necessary for proper execution of the project;
• confirms they have the legal right to submit the materials they provide, including all required permissions and consents;
• completes payment for the Services as agreed;
• communicates respectfully and professionally in all correspondence with our team.

7. FILES, CONFIDENTIALITY, AND DATA RETENTION

7.1 When you submit files to us — through the Quote Request form, the Contact form, any form embedded on the Site, or by email — we store those files on our own server infrastructure in a secure, access-restricted directory.

7.2 Quote Request form files (including files submitted through the same form embedded on any page of the Site) are automatically deleted from our server 60 days after submission, unless a project is started from that submission. If a project begins, file retention is governed by the specific service agreement for that project.

7.3 If you want your uploaded files deleted earlier than the 60-day window, contact us at info@e-doc.ltd or reply to the confirmation email. We will delete the files within three business days and confirm deletion by email.

7.4 All Client files are treated as confidential under our NDA Statement. If you require a separately signed Non-Disclosure Agreement before sharing files, request one either by marking the “I require an NDA before sharing files” option in our forms or by emailing legal@e-doc.ltd.

8. REFUND POLICY

8.1 If a cancellation request is received before work has begun, we may, at our discretion, issue a partial or full refund, calculated after deducting actual transaction fees, banking commissions, and payment-processing charges we have incurred in receiving the payment.

8.2 If work has started, any refund is calculated proportionally based on the portion of work completed. The cost of the completed portion is non-refundable.

8.3 Refunds are not issued if:

• you fail to provide necessary materials, feedback, or approvals in a timely manner;
• you change the project scope, expectations, or goals after confirmation;
• dissatisfaction is based on subjective preference rather than objective failure to meet agreed terms;
• any part of this Agreement is violated, or fraudulent or misleading information was provided.

9. CONFIDENTIALITY AND NDA

9.1 The Contractor maintains strict confidentiality of all data and materials submitted by the Client, as described in our NDA Statement.

9.2 A separate NDA may be signed on Client request, free of charge. Our standard NDA template is available on request.

9.3 Confidentiality obligations survive termination of this Agreement for the period specified in the NDA Statement.

10. GOVERNING LAW AND DISPUTE RESOLUTION

10.1 This Agreement is governed by the laws of Ukraine.

10.2 Before initiating legal proceedings, the parties will attempt to resolve disputes through good-faith negotiation via email correspondence.

10.3 If the parties cannot reach a resolution within 30 calendar days of initial written notice, the dispute is referred to the competent courts located at the place of registration of the Contractor (Kolomyia, Ivano-Frankivsk Region, Ukraine), unless Ukrainian procedural law assigns the matter to a different court.

10.4 The language of any legal proceeding is Ukrainian.

11. CONSUMER PROTECTION

Nothing in this Agreement waives or limits non-waivable rights you may have under the consumer-protection laws of your jurisdiction. Where a provision of this Agreement would unlawfully restrict your statutory rights, it is deemed modified to the minimum extent necessary to comply with applicable law.

12. FINAL PROVISIONS

12.1 This Agreement takes effect immediately upon Client acceptance (as defined in Section 2) and remains in force until the completion of the Services purchased.

12.2 Any amendments must be made in writing and mutually agreed.

12.3 If any provision of this Agreement is found to be unlawful, void, or unenforceable, the remaining provisions remain in full force.

12.4 This Agreement, together with our Terms of Use, Privacy Policy, NDA Statement, and any signed project-specific agreement, constitutes the entire agreement between the Client and the Contractor.

13. PREVAILING LANGUAGE

This Agreement may be published in both English and Ukrainian versions. In case of any discrepancy, conflict, or ambiguity between the two versions — whether the Ukrainian version is published on the Site or exists only as an internal working document — the Ukrainian version prevails for all purposes of interpretation and enforcement.
